An institutional securities transaction begins long before a broker routes a single share to an exchange. The trade lifecycle originates on the buy-side, where portfolio managers make strategic asset allocation and security selection decisions based on underlying fund mandates, benchmark tracking errors, and fundamental research models. However, a buy-side portfolio manager does not directly call broker dealing desks or fire child algorithms into lit order books. Instead, investment decisions are 'staged' inside the investment manager's Portfolio Management System (PMS) and Order Management System (OMS), such as BlackRock Aladdin, Charles River IMS, or Bloomberg AIM.
During buy-side staging, proposed trades undergo rigorous pre-trade compliance checks across multiple legal entities. The system validates mandate restrictions, UCITS 5/10/40 concentration limits, cash availability, and ESG exclusions across all underlying sub-accounts and segregated investor mandates. Once cleared, these multi-account demands are aggregated into an uncommitted 'parent order' and released to the internal buy-side execution desk. The buy-side head trader then determines the execution strategy, carves the parent order into broker-sized tranches, and transmits them electronically across the street via FIX protocol.
On the other side of the institutional firewall sits the sell-side broker-dealer. When the sell-side sales trading desk receives the electronic transmission, it does not simply pass the instruction through to the market unchanged. The broker's OMS (such as Fidessa, Bloomberg TOMS, or proprietary gateways) instantiates a formal 'Sales Order'. This sales order establishes the broker's contractual and fiduciary handling responsibility, assigns a unique internal Order ID, applies pre-trade credit limits, and maps client instructions before releasing child orders to execution venues.
